The terms that govern your access to and use of this site.

These Terms of Service (these "Terms") govern your access to and use of eidetikos.com and its content (the "Site"), operated by Eidetikos, PBC, a Delaware public benefit corporation ("Eidetikos", "we", "us", or "our").
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
01Eligibility
You must be at least 16 years old and legally capable of entering into a binding contract to use the Site. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.
02The Site Is Informational
The Site describes our company, our research, and our projects. It is provided for general informational purposes only. Nothing on the Site constitutes legal, financial, investment, employment, or professional advice, an offer to sell or a solicitation to buy any security, or a binding commitment to provide any product or service.
03Forward-Looking Statements
Descriptions of our research agenda, projects, and roadmap describe what we currently intend to build. They are not promises about functionality, availability, timing, or results. Research programs change, and we may modify, delay, or discontinue any project without notice.
04Permitted Use
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and view the Site for your own personal or internal business purposes. All rights not expressly granted are reserved.
05Prohibited Conduct
You agree not to: use the Site in violation of any law or regulation; attempt to gain unauthorized access to any portion of the Site, its systems, or accounts, including the private materials area; probe, scan, or test the vulnerability of the Site or circumvent any security or access control; interfere with or disrupt the integrity or performance of the Site; use automated means to scrape, harvest, or index the Site or to collect email addresses or other contact information from it; submit false, misleading, or impersonating information; upload malicious code; or use the Site or its content to develop a competing product or service.
06Intellectual Property
The Site and its contents, including text, design, graphics, layout, logos, wordmarks, images, and code, are owned by Eidetikos or its licensors and are protected by copyright, trademark, and other intellectual property laws. Except as expressly permitted, you may not copy, reproduce, republish, distribute, modify, create derivative works from, or publicly display any part of the Site.
07Trademarks and Press Use
"Eidetikos", the Eidetikos logo and wordmarks, and our project names are trademarks of Eidetikos, PBC. Journalists and media may reproduce our marks and approved assets for editorial coverage in accordance with the guidance published on our press page. You may not alter, recolor, rotate, or distort our marks, incorporate them into your own marks, or use them in any way that suggests endorsement, sponsorship, or affiliation that has not been agreed in writing.
08Submissions and Feedback
You are responsible for anything you submit through the Site, including inquiries, applications, and materials, and you represent that you have the right to submit it and that it does not infringe the rights of others or violate any law or obligation of confidence you owe to a third party.
If you send us suggestions, ideas, or feedback about our research, products, or the Site, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use and exploit that feedback for any purpose without obligation or compensation to you. Please do not send us confidential or proprietary information you do not wish us to use on this basis.
09Confidential Materials
Portions of the Site are private and available only to invited recipients holding a valid access code. Access is conditioned on execution of a non-disclosure agreement, and the materials made available there are confidential. Where the terms of a signed non-disclosure agreement conflict with these Terms, that agreement controls with respect to its subject matter.
10Products and Separate Terms
Our software products, including Project Finch, are licensed under separate terms provided with those products. These Terms grant no licence or right to use any Eidetikos product, and nothing on the Site should be read as making a product available to you.
11Third-Party Links and Services
The Site contains links to websites and services operated by others. We provide these links for convenience and do not control, endorse, or assume responsibility for their content, products, policies, or practices. Your dealings with third parties are solely between you and them.
12Privacy
Our collection and use of personal information in connection with the Site is described in our Privacy Policy, which is incorporated into these Terms by reference.
13Disclaimer of Warranties
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, EIDETIKOS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ITS CONTENT IS ACCURATE, COMPLETE, OR CURRENT.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
14Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, EIDETIKOS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
15Indemnification
You agree to indemnify, defend, and hold harmless Eidetikos and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or the rights of a third party.
16Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in the State of Delaware, and you irrevocably submit to the personal jurisdiction of those courts. If you are a consumer resident in a jurisdiction whose law grants you the right to bring proceedings locally, this section does not deprive you of that right.
17Informal Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at the address below. We will attempt in good faith to resolve the matter, and both parties agree to allow thirty (30) days from the date of notice for informal resolution before commencing proceedings.
18Suspension and Termination
We may suspend or terminate your access to the Site, in whole or in part, at any time and without notice, including if we believe you have violated these Terms. Provisions that by their nature should survive termination will survive, including intellectual property, feedback, disclaimers, limitation of liability, indemnification, and governing law.
19Changes to These Terms
We may revise these Terms from time to time. When we do, we will update the effective date shown above, and material changes will be accompanied by a more prominent notice on the Site. Your continued use of the Site after a revision takes effect constitutes acceptance of the revised Terms.
20General
These Terms, together with our Privacy Policy and any agreement you have signed with us, constitute the entire agreement between you and Eidetikos regarding the Site. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them freely. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
